Terms of Service

These Terms of Service (“Terms”) govern your use of the ytadvisors.com website and the professional services provided by YT Advisors LLC (“YT Advisors,” “we,” “us,” “our”). By accessing our website or engaging our services, you agree to these Terms.

1. Services

YT Advisors provides AI-assisted strategic execution: we decompose client objectives into initiatives, execute against measurable KPIs, and deliver outcomes against contracted scope. The specific scope, deliverables, fees, and duration of each engagement are defined in a separate signed agreement (Statement of Work or equivalent) between YT Advisors and the client.

2. Eligibility & Authorization

You represent that you have the legal capacity and authority to enter into these Terms on behalf of yourself or the organization you represent, and to grant the access rights (OAuth scopes, API credentials, etc.) needed for the services.

3. Fees & Payment

Fees are specified in the applicable SOW. Invoices are due within the terms stated on each invoice. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

4. Intellectual Property

  • Your data — you retain all rights to data you provide or that is accessed through integrations you authorize.
  • Our tooling — the OpenClaw platform, proprietary agent prompts, scripts, and methodology remain the property of YT Advisors.
  • Deliverables — final work product delivered to you under an SOW is assigned to you on full payment, except for embedded open-source components and our pre-existing tooling.

5. Confidentiality

Each party will hold the other’s non-public information in confidence and use it only to perform its obligations. This survives termination for three (3) years.

6. Third-Party Integrations

When you authorize YT Advisors to connect to third-party services (QuickBooks Online, Google Workspace, mobile carriers, etc.), you also agree to those providers’ own terms and policies. YT Advisors will use only the minimum scope required for the engagement. You can revoke access at any time through the respective provider.

7. SMS / Text Messaging

If you opt in to SMS notifications from YT Advisors, you agree to our SMS Terms & Consent. Message and data rates may apply. Reply STOP to unsubscribe. Reply HELP for help. Frequency of messages varies.

8. Acceptable Use

You agree not to (a) use the services for unlawful purposes, (b) reverse engineer our proprietary tooling, (c) resell or redistribute our services without written consent, or (d) attempt to gain unauthorized access to any system.

9. Disclaimers

Services are provided “as is” to the extent permitted by law. We make no warranty of uninterrupted or error-free operation. Strategic, financial, legal, and tax recommendations require your independent professional review before implementation.

10. Limitation of Liability

To the maximum extent permitted by law, YT Advisors’ aggregate liability under these Terms or any SOW shall not exceed the fees paid by you in the twelve (12) months immediately preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

11. Indemnification

Each party will indemnify the other for third-party claims arising from its own breach of these Terms, negligent acts, or violation of law.

12. Termination

Either party may terminate an engagement per the terms of the applicable SOW. Sections covering IP, confidentiality, payment obligations, disclaimers, and limitation of liability survive termination.

13. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in St. Louis, Missouri.

14. Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date. Continued use constitutes acceptance.
